TERMS AND CONDITIONS This Service Agreement (including the schedule and clauses outlined herein) is entered into as of the date specified in Item 1 of the attached Schedule, by and between Shalk Security Limited, a company incorporated under the Laws of Jamaica with its registered office at 47 William Street, Spanish Town, St. Catherine, Jamaica (hereinafter referred to as the "Provider"), and the party or parties listed in Item 2 of the attached Schedule (hereinafter referred to as the "Client," which term includes successors, assigns, and personal representatives, as applicable). PREAMBLE A. Shalk Security Limited specializes in the installation, operation, and maintenance of security solutions, including but not limited to Intrusion Detection Systems (IDS), Panic & Medical Emergency Monitoring Services, and other security infrastructure. B. The Client wishes to purchase and utilize the selected security services (“Services”) as outlined in Item 3 of the attached Schedule. C. The Provider agrees to deliver and maintain these services under the terms and conditions outlined below. 1. DEFINITIONS AND INTERPRETATION 1.1 Definitions a. "Security Services" refers to the monitoring and response services offered by the Provider, including intrusion detection, panic button response, and medical emergency assistance. b. "Selected Services" means the services specified in Item 3 of the Schedule. c. "Intrusion Detection System (IDS)" refers to hardware and software installed at the Client’s premises to detect unauthorized entry or suspicious activity. d. "Panic & Medical Emergency System" refers to a wireless or wired panic button system linked to the Provider’s 24/7 monitoring center, facilitating an immediate response. e. "Warranty Period" refers to a one-year period from the date of installation for system repairs or replacement due to manufacturing or installation defects. 1.2 Interpretation References to the "Client" include singular and plural forms and all genders. Section headings are for convenience only and shall not affect interpretation. 2. SERVICES 2.1 Installation a. The Provider will install the Intrusion Detection System (IDS) and/or Panic & Medical Emergency System at a mutually agreed-upon location and time. b. All equipment remains the property of the Provider unless fully paid for by the Client. 2.2 Maintenance a. The Provider will provide routine maintenance and technical support for installed systems during the Warranty Period. b. The Client must immediately notify the Provider of any system malfunctions. 2.3 Service Limitations a. The Provider is not responsible for issues resulting from the Client’s failure to arm the system, power outages, internet disruptions, or unauthorized tampering. b. Services may be temporarily unavailable due to force majeure events, including but not limited to natural disasters, power failures, or telecommunications failures. 3. FEES AND PAYMENTS 3.1 Payment Terms a. The Client agrees to pay the fees as outlined in Items 4 and 5 of the Schedule. b. Payments are due in advance on the first day of each billing cycle. 3.2 Late Payments & Fee Adjustments a. Late payments will incur a penalty of 5% per month. b. The Provider reserves the right to adjust service fees with 30 days’ written notice to the Client. 4. CLIENT OBLIGATIONS The Client agrees to: a. Provide accurate and up-to-date emergency contact information. b. Ensure that the installed security systems are properly armed and operational at all times. c. Not tamper with, disable, or allow unauthorized personnel to modify the systems. d. Comply with all applicable laws regarding the use of alarm, monitoring, and emergency response systems. The Client is solely responsible for ensuring that the system is armed and in working condition, and that their premises are secure. 5. LIMITATION OF LIABILITY 5.1 Exclusions from Liability The Provider will not be liable for losses or damages arising from: a. The Client’s failure to arm the system or report incidents promptly. b. Malfunctions caused by third-party interference, tampering, or environmental conditions. c. Emergency response delays caused by external agencies (e.g., police, ambulance, fire services). d. Break-ins, burglaries, or property damage if the system was not armed or functioning at the time of the incident. 5.2 Maximum Liability The Provider’s liability for any claim is limited to either: a. The total fees paid by the Client for the past 12 months, or b. JMD $150,000, whichever is lower. 6. WARRANTY AND MAINTENANCE 6.1 Warranty Coverage a. The Provider offers a one-year warranty for installed systems, covering manufacturer defects and installation errors. b. The warranty does not cover damage caused by negligence, unauthorized modifications, or environmental factors. 6.2 Void Warranty Conditions The warranty is void if: a. The Client or an unauthorized third party attempts repairs or modifications. b. The system is removed, relocated, or tampered with by unauthorized personnel. 7. TERMINATION 7.1 Termination Rights Either party may terminate this Agreement with 30 days’ written notice. 7.2 Provider’s Right to Terminate The Provider may suspend or terminate services immediately if the Client: a. Fails to make payments within 15 days of the due date. b. Violates any term of this Agreement. 8. CONFIDENTIALITY Both parties agree to maintain the confidentiality of sensitive information shared under this Agreement, except as required by law or with written consent. 9. GENERAL PROVISIONS 9.1 Assignment The Client may not transfer this Agreement without prior written consent from the Provider. 9.2 Entire Agreement This Agreement constitutes the full understanding between the parties and supersedes all prior discussions. 9.3 Governing Law This Agreement is governed by the Laws of Jamaica. 10. ACCEPTANCE By signing below, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
