Plate NumberColorAlert Types NeededIgnition AlertsSpeeding AlertsDoor Open AlertsOil Leak AlertsEngine Idle AlertsOffline AlertsPreferred Installation Time & DateTERMS AND CONDITIONS This Service Agreement (including the schedule and the clauses outlined herein) is entered into as of the date specified in Item 1 of the attached Schedule, by and between Shalk Security Limited, a company incorporated under the Laws of Jamaica with its registered office at 47 William Street, Spanish Town, St. Catherine, Jamaica (hereinafter referred to as the "Provider"), and the party or parties listed in Item 2 of the attached Schedule (hereinafter referred to as the "Client," which term includes successors, assigns, and personal representatives, as applicable). PREAMBLE A. Shalk Security Limited specializes in the installation, operation, and maintenance of various security services, including but not limited to vehicle tracking systems, panic and medical monitoring services, and intrusion detection systems. B. The Client wishes to purchase and utilize the selected services ("Services") as outlined in Item 3 of the attached Schedule. C. The Provider agrees to deliver and maintain these services under the terms and conditions outlined below. NOW, THEREFORE, the parties agree as follows: DEFINITIONS AND INTERPRETATION Definitions: a. “Security Services” refers to the monitoring and response services offered by the Provider, including stolen vehicle recovery, panic alarms, and emergency assistance. b. “Selected Services” means the services specified in Item 3 of the Schedule. c. “Tracking Device” refers to hardware installed in vehicles to facilitate real-time location tracking, geofencing, and related services. d. “Intrusion Detection System” refers to equipment installed to detect unauthorized entry or suspicious activity within a designated space. e. “Warranty Period” refers to a one-year period from the date of installation for system repairs or replacement due to manufacturing or installation defects. Interpretation: References to the "Client" shall include singular and plural forms and all genders. All section headings are for convenience only and shall not affect interpretation. SERVICES Installation: a. The Provider will install the hardware and/or systems specified in the Schedule at a mutually agreed-upon location and time. b. All equipment remains the property of the Provider unless fully paid for by the Client. Maintenance: a. The Provider will provide routine maintenance and technical support for the installed systems during the Warranty Period. b. The Client is responsible for notifying the Provider of any issues immediately upon discovery. Service Limitations: a. The Provider is not responsible for issues resulting from the Client’s failure to arm the system, unauthorized tampering, or power/internet outages. b. Services may be temporarily unavailable due to force majeure events, including natural disasters or interruptions in third-party services. FEES AND PAYMENTS The Client agrees to pay the fees as outlined in Items 4 and 5 of the Schedule. Payments are due in advance on the first day of each billing cycle. Late payments will incur a penalty of 5% per month. The Provider reserves the right to adjust fees with 30 days’ written notice to the Client. CLIENT OBLIGATIONS The Client agrees to: a. Provide accurate and up-to-date emergency contact information. b. Ensure that the installed systems are properly armed and operational at all times. c. Not tamper with or allow unauthorized personnel to modify the systems. d. Comply with all applicable laws regarding the use of tracking, alarm, and monitoring systems. The Client is solely responsible for securing their premises, arming systems, and providing necessary access for installation or repairs. LIMITATION OF LIABILITY The Provider will not be liable for losses or damages arising from: a. The Client’s failure to arm the system or report incidents promptly. b. Malfunction caused by third-party interference, tampering, or environmental conditions. c. Emergency response delays caused by external agencies (e.g., police, ambulance). Maximum Liability: The Provider’s liability for any claim is limited to the total fees paid by the Client for the past 12 months or JMD $150,000, whichever is lower. WARRANTY AND MAINTENANCE The Provider offers a one-year warranty for installed systems, covering manufacturer defects and installation errors. The warranty is void if the Client or unauthorized personnel tamper with the system. TERMINATION Either party may terminate this Agreement with 30 days’ written notice. The Provider may suspend or terminate services immediately if the Client: a. Fails to make payments within 15 days of the due date. b. Violates any term of this Agreement. CONFIDENTIALITY Both parties agree to maintain the confidentiality of sensitive information shared under this Agreement, except as required by law or with written consent. GENERAL PROVISIONS Assignment: The Client may not transfer this Agreement without prior written consent from the Provider. Entire Agreement: This Agreement constitutes the full understanding between the parties and supersedes all prior discussions.
